How does business law provide the rights and duties of parties?
Business law provides for the rights and duties of parties to their business relationships. In order to achieve a successful business, it is important that the parties follow their legal obligations and exercise the remedies provided by law. The rights of a party are protected through the written contract entered into between parties. The remedies provided by law are mostly in the form of damages which can be claimed by a party if his rights are violated by another party. These remedies also include injunctions which prevent further violations of the right.
A contract is an agreement between two or more parties which creates an obligation to do something or not to do something as stated in the contract. If a party does not perform his part of the contract in accordance with its terms, then he is said to be in breach of contract. A breach can be either:
- Fraudulent: This occurs when a party intentionally fails to carry out his obligations under the contract;
- Non-fraudulent: This occurs when a party does not intentionally fail to carry out his obligations under the contract, but he has failed to fulfill them for reasons beyond his control.
A party who suffers from a breach of contract can claim damages from the other party, but only if he has suffered some loss or damage due to this breach.
Business law is the body of law that regulates business. It provides the rules for how businesses are organized, operated, and administered. Business law provides the rights and duties of parties in relation to each other, like what happens when someone breaches a contract or when someone dies and their share of the company passes to their heirs.
Business law also outlines everything from the structure of a corporation to what can be included in a contract. It's a field that's been evolving since business became a distinct thing in the 18th century, so it has plenty of history behind it.
